This website is operated by Auper Brasil LTDA, registered under CNPJ No. 55.762.059/0001-09, with address at Rua Dona Francisca, 8300, Bloco 4, Módulo 4A, Bairro Zona Industrial Norte, Joinville, Santa Catarina, CEP 89.219-600, Brazil, hereinafter referred to as "Auper", "we" or "our". Throughout this document, the terms "you" and "Customer" refer to any person who accesses the auper.com.br website ("Website") or uses Auper's Services.
1. Purpose and Acceptance
1.1. These Terms of Service govern the access to and use of the Website, including the purchase priority reservation and, when applicable, the purchase of electric motorcycles and other products and services offered by Auper.
1.2. By accessing the Website or making a reservation or purchase, you agree to these Terms. If you do not agree with any part of them, we ask that you do not use the Website or the Services.
1.3. We may update these Terms at any time. We will publish the current version on this page, with the date of the last update. Material changes will be communicated by email or by notice on the Website before they take effect, and your continued use of the Website after an update represents your acceptance of the new version.
1.4. Currently, Auper operates through a purchase priority reservation system, specifically governed by the Reservation Terms, available at auper.com.br/termodereserva. The provisions of these Terms related to the purchase of the vehicle, the payment of the sale price, delivery, the right of withdrawal on the purchase (section 5), and the warranty (section 6) will take effect from the start of direct sales, and will apply to each purchase and sale transaction made through the Website from that date. Until then, the relationship between you and Auper regarding the reservation is governed by the Reservation Terms.
2. Who can use the Website
2.1. To register, reserve, or purchase on our Website, you declare that you are eighteen years of age or older, or emancipated under Brazilian law.
2.2. The processing of personal data of children and adolescents, when it occurs, follows the specific rules described in our Privacy Policy and in article 14 of the General Data Protection Law (Law No. 13,709/2018), always with the specific and highlighted consent of a parent or legal guardian.
2.3. You may not use the Website for any illegal purpose, to violate the rights of third parties, or to transmit viruses or any malicious code. Failure to comply with these rules may result in the immediate suspension of your access to the Website.
3. Products, prices, and availability
3.1. We describe our products as accurately as possible, including technical specifications, colors, and images. The images and renders displayed on the Website represent the vehicle in development and may not reflect the final or most current version of the product, in addition to color and finish variations resulting from display differences between monitors and devices.
3.2. The prices displayed on the Website are in Brazilian Reais and include applicable taxes, unless otherwise indicated. Price changes do not affect orders or reservations already confirmed and paid.
3.3. Currently, all our products are available exclusively through the priority reservation system, in order of registration date and time, according to the Reservation Terms. When direct sales begin, products in limited quantities, such as special editions, may follow additional availability criteria, informed on the product page.
3.4. We may refuse or cancel an order in cases of suspected fraud, obvious price error, or product unavailability. In such cases, we will contact you and issue a full refund of any amount already paid.
4. Payment
4.1. Payments related to the purchase priority reservation are processed by Stripe, which acts as a payment method acquirer in Brazil and applies recognized security standards, including encryption of data in transit and strong authentication. Stripe processes the transaction on our behalf. Auper remains solely responsible to you for the reservation, the future sale of the vehicle, delivery, exchanges, returns, and any other aspect of the commercial relationship between you two, in the form of these Terms and the Reservation Terms.
4.3. From the moment Stripe receives the amount paid by you, your payment obligation to Auper is considered fulfilled, regardless of when or how Stripe transfers that amount to us.
4.3. A partir do momento em que a Stripe recebe o valor pago por você, sua obrigação de pagamento perante a Auper é considerada cumprida, independentemente de quando ou como a Stripe repassa esse valor a nós.
4.4. Auper does not store your full payment card details. This information is processed directly by Stripe, in accordance with Stripe's Terms of Service, available at stripe.com/br/legal/ssa-services-terms, and its privacy policy.
4.5. From the start of direct sales, we will maintain a clear and neutral exchange and return policy, described in sections 5 and 6 of this document and also available in a specific document, detailing how you can request a refund.
4.6. The payment provider used for the purchase of the vehicle, when direct sales begin, will be informed in the respective purchase flow and in the purchase and sale contract.
5. Right of withdrawal (applicable from the start of direct sales)
5.1. Since the purchase of the vehicle will be made outside a physical commercial establishment, you will have the right to withdraw from it within up to 7 (seven) calendar days, counted from the signing of the purchase and sale contract or the receipt of the vehicle, whichever occurs later, without the need for justification, in accordance with article 49 of the Consumer Defense Code and Decree No. 7,962/2013.
5.2. Once this right is exercised, we will immediately refund any amounts eventually paid, under any title, monetarily updated, as determined by the sole paragraph of article 49 of the CDC. The time it takes for the amount to appear on your bank statement depends on the processing of the payment provider, usually between 5 (five) and 10 (ten) business days.

5.4. This right is distinct from the right to request a refund of the reservation deposit at any time before signing the purchase and sale contract, dealt with specifically in the Reservation Terms, and is also not to be confused with the vehicle warranty, dealt with in section 6.
6. Warranty (applicable from the start of direct sales)
6.1. Every vehicle sold by Auper is protected by the legal warranty of the Consumer Defense Code, of 90 (ninety) calendar days from effective delivery, to claim for defects of quality or quantity that make it unfit for its intended use. This legal term is included within the contractual warranty terms described below, and is not added to them.
6.2. In addition to the legal warranty, Auper offers a contractual warranty on the vehicle and on the battery, covering the repair or replacement of components with manufacturing defects at no cost, with periods that vary depending on the model purchased, counted from the delivery of the vehicle to the original owner, regardless of change of ownership:
Vehicle warranty
Base, Extended Battery, and Performance: 3 (three) years or 60,000 km, whichever occurs first.
Founder's Edition: 5 (five) years or 80,000 km, whichever occurs first.
Battery warranty
Base: 5 (five) years or 75,000 km, whichever occurs first.
Extended Battery and Performance: 5 (five) years or 100,000 km, whichever occurs first.
Founder's Edition: 5 (five) years or 120,000 km, whichever occurs first.
6.3. The warranty does not cover failures resulting from improper use or handling of the vehicle, as specified in the Owner's Manual.
6.4. Vehicles sold for fleet use are covered by a specific Warranty Term for commercial use, with its own conditions.
6.5. The full warranty conditions are detailed in the Warranty Term of Auper Brasil LTDA and in the Owner's Manual, delivered to you at the time of purchase. A summary is also available at auper.com.br/garantiaeservicos. In case of divergence, the invoice, the purchase and sale contract, the Warranty Term, and the Owner's Manual prevail.
6.6. To activate the warranty, please contact us by email at info@aupermotorcycles.com or through the channels indicated in your purchase and sale contract.
7. Delivery
7.1. Delivery times and conditions are informed at the time of purchase and may vary by region.
7.2. Any relevant change to the original delivery timeframe will be communicated to you with reasonable notice.
8. Third-party tools and content
8.1. The Website may provide links or third-party tools that are not under the control of Auper. The use of these tools is your responsibility, and we recommend reading the terms of the corresponding provider before using them.
8.2. We are not responsible for the content, accuracy, or practices of third-party websites accessed through links on our Website.
9. Comments, reviews, and content submitted by you
9.1. If you submit comments, reviews, suggestions, or other content to Auper, you grant us a non-exclusive license to use, reproduce, and publish that content related to our products and services, respecting the image and copyright rights you maintain over it.
9.2. You are responsible for the truthfulness and legality of the content you submit. The content must not include offensive, discriminatory material or material that violates the rights of third parties, and we may remove content that violates this rule.
10. Intellectual property
10.1. The brands, texts, designs, software, and other content of the Website belong to Auper or its licensors, protected by intellectual property legislation. The use of the Website does not grant you any license over these assets, other than browsing, reserving, and purchasing within the limits of these Terms.
11. Protection of personal data
11.1. The processing of your personal data is described in detail in our Privacy Policy, available at auper.com.br/politicadeprivacidade, an integral part of these Terms, in compliance with the General Data Protection Law (Law No. 13,709/2018).
11.2. Our Data Protection Officer can be contacted by email at admin@aupermotorcycles.com for any request related to your rights as a personal data subject.
12. Prohibited uses
You may not use the Website to: (a) any illegal purpose; (b) violate applicable laws or regulations; (c) infringe intellectual property rights of Auper or third parties; (d) harass, discriminate, or harm others; (e) transmit false or misleading information; (f) transmit viruses or malicious code; (g) collect personal data of third parties without authorization; (h) conduct spam, phishing, or any fraudulent practice; (i) circumvent security measures of the Website.
13. Limitation of liability
13.1. Auper is liable for flaws and defects in its products and services as provided for in the Consumer Defense Code, including cases of strict liability for product defects.
13.2. This liability does not apply when the flaw, defect, or damage results from use, maintenance, storage, or modification of the vehicle in disagreement with the Owner's Manual, natural wear and tear of consumable parts, accident caused solely by your fault or that of a third party, or acts of God or force majeure, in accordance with the exclusions provided for in article 12, paragraph 3, of the Consumer Defense Code.
13.3. Within the limits permitted by Brazilian legislation, Auper is also not liable for indirect or consequential damages that do not result directly from a flaw or defect in our products or services, nor for events beyond our reasonable control, such as third-party connectivity failures.
13.4. Nothing in these Terms excludes or limits rights that cannot be waived by contract under the Consumer Defense Code.
14. Termination
14.1. You may stop using the Website at any time. We may suspend or terminate your access in the event of a violation of these Terms, seeking to notify you in advance, except in cases of urgency or risk to the security of the Website or third parties.
15. General provisions
15.1. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions remain in effect.
15.2. Auper's tolerance of any non-compliance with any provision does not represent a waiver of the right to demand it later.
16. Applicable law and jurisdiction
16.1. These Terms are governed by the laws of the Federative Republic of Brazil.
16.2. The court of the district of Joinville, Santa Catarina, is elected to resolve disputes arising from these Terms, safeguarding your right, as a consumer, to bring an action in the court of your domicile, in accordance with article 101, item I, of the Consumer Defense Code.
